BuyerRecon – Terms of Service

Effective Date: 24 March 2026

These Terms of Service (“Terms”) constitute a binding agreement between you (“Customer”, “you”) and Keigen Technologies UK Limited (“Keigen”, “we”, “us”), a company registered in England and Wales (company number 13145552), governing your access to and use of the BuyerRecon platform and all related services (the “Service”).

BuyerRecon is an organisation-level visitor intelligence, intent-scoring, and pre-form sales signal platform designed primarily for B2B use cases and, in certain controlled deployments, high-consideration B2C environments. BuyerRecon is designed to help customers analyse organisation-level traffic patterns, engagement signals, and related commercial intelligence before a form submission occurs.

BuyerRecon is not represented as a tool for identifying named natural persons, and customers must not use the Service in a way that would unlawfully identify, track, profile, or target individuals in breach of applicable data protection, privacy, consumer, or marketing laws.

By accessing or using the Service, you agree to these Terms, our Website and Service Privacy Notice, our Cookies and Similar Technologies Notice, and our Acceptable Use Policy.

1. Definitions

2. Access and Licence

Subject to these Terms and payment of applicable fees, Keigen grants Customer a non-exclusive, non-transferable, revocable licence to access and use the Service during the Subscription term solely for Customer’s internal business purposes. Customer shall not sublicense, resell, distribute, or make the Service available to any third party without prior written consent.

4. Intellectual Property Rights

4.1 Keigen IP

All intellectual property rights in the Service, including software, algorithms, scoring models, user interface designs, documentation, and trademarks, are and shall remain the exclusive property of Keigen Technologies UK Limited. Nothing in these Terms transfers any IP rights to Customer except the limited licence granted in Section 2.

4.2 Customer Data

Customer retains all rights in Customer Data. Customer grants Keigen a non-exclusive, worldwide licence to process Customer Data solely for the purpose of providing the Service.

4.3 Service Analytics and De-identified Data

Keigen may use aggregated, statistical, and de-identified information derived from operation of the Service for service improvement, testing, benchmarking, security, capacity planning, research, and product development, provided that such information does not identify Customer, any end user, or any natural person.

For the avoidance of doubt, pseudonymised data remains personal data unless it has been irreversibly anonymised in accordance with applicable law.

5. Third-Party Services; Data Quality; Probabilistic Outputs

5.1 The Service may integrate with or rely on Third-Party Services for organisation-level visitor resolution, analytics, enrichment, communications, billing, hosting, CRM connectivity, security, and related service functions.

5.2 Keigen may replace, remove, or add Third-Party Services from time to time, provided that doing so does not materially reduce the core functionality of the Service purchased by Customer, except where changes are required for legal, security, operational, or supplier-availability reasons.

5.3 Customer acknowledges that company matching, organisation-level visitor resolution, enrichment, scoring, and similar outputs are inherently probabilistic. Accuracy may be affected by factors including network configuration, shared IP environments, VPNs, proxies, device settings, consent state, source-data coverage, and third-party methodology.

5.4 KEIGEN DOES NOT WARRANT THAT ANY IDENTIFICATION, MATCH, ENRICHMENT RESULT, OR SCORE WILL BE COMPLETE, ERROR-FREE, OR SUITABLE AS THE SOLE BASIS FOR A COMMERCIAL DECISION. CUSTOMER SHOULD INDEPENDENTLY REVIEW HIGH-IMPACT ACTIONS BEFORE TAKING THEM.

6. Data Storage and Security

6.1 Data Location

Customer Data and Processed Data are stored on cloud infrastructure located in the EU/UK/US. Keigen will notify Customer of any material change to data storage locations.

6.2 Security Measures

Keigen implements appropriate technical and organisational measures to protect data, including encryption in transit (TLS 1.2+), encryption at rest, access controls, audit logging, and regular security assessments. No system is completely secure; Keigen does not guarantee absolute security.

6.3 Retention and Deletion

Customer Data is retained for the duration of the Subscription. Upon termination or expiration of the Subscription, Customer shall have thirty (30) days to export its Customer Data. Following that export period, Keigen will permanently delete Customer Data within a further thirty (30) days (that is, within sixty (60) days of termination), except where retention is strictly required by applicable law.

7. Data Protection Roles

7.1 Where Keigen processes personal data on behalf of Customer in connection with Customer’s use of BuyerRecon on Customer’s own websites, systems, or properties, Customer acts as controller and Keigen acts as processor, unless otherwise expressly stated in writing.

7.2 Keigen acts as controller for its own business operations relating to the Service, including account administration, billing, fraud prevention, abuse detection, security monitoring, service integrity, legal compliance, and limited service analytics.

7.3 Where required by applicable law, the parties will enter into a Data Processing Agreement incorporated by reference into these Terms. Unless the parties execute a separate written version, Customer’s acceptance of these Terms or an Order Form that incorporates these Terms constitutes acceptance of the applicable DPA.

7.4 The DPA covers documented processing instructions, confidentiality, security measures, sub-processor controls, international transfers, data subject rights assistance, incident notification, audits, return, and deletion.

8. Cookies, Tracking Technologies, and Customer Compliance Responsibilities

8.1 BuyerRecon may use cookies, scripts, tags, storage technologies, or similar mechanisms when deployed on a Customer website, depending on configuration and implementation.

8.2 Customer is solely responsible for its own compliance with PECR, UK GDPR, and other applicable privacy or e-marketing laws when deploying BuyerRecon on Customer-controlled properties, including:

Rules may differ depending on the channel used and whether the recipient is a company, a named business contact, a sole trader, or another individual.

8.3 Keigen may provide implementation guidance, example disclosures, or product documentation, but Customer remains responsible for its own legal assessment, notice design, consent implementation, and downstream communications compliance.

8.4 BuyerRecon may be used in B2B contexts and, in some deployments, in high-consideration B2C contexts. The applicable notice, consent, and marketing requirements may differ depending on the deployment model, the data involved, the relevant jurisdiction, and whether the data relates to organisations, identifiable individuals, or both.

9. Service Levels and Availability

Keigen targets 99.5% monthly uptime for the Service, excluding scheduled maintenance windows. This uptime target is a service objective only and does not constitute a binding service level agreement unless expressly incorporated into an Order Form or separate written agreement. Specific SLA commitments, service credits, and support response times may be agreed in a separate Enterprise SLA or Order Form. Keigen will use commercially reasonable efforts to provide advance notice of scheduled maintenance.

11. Limitation of Liability

11.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEIGEN’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO KEIGEN IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11.2 Exclusion of Indirect Damages

IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Exceptions

Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded or limited by applicable law, including under the Consumer Rights Act 2015 (where applicable) or the Unfair Contract Terms Act 1977.

12. Warranties and Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS, KEIGEN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Keigen does not warrant that: (a) the Service will be uninterrupted or error-free; (b) organisation-level identifications or intent scores will be 100% accurate; (c) Third-Party Services will remain available or unchanged; or (d) the Service will meet Customer’s specific requirements unless expressly agreed in an Order Form.

13. Indemnification

13.1 Keigen Indemnity

Keigen shall indemnify Customer against third-party claims alleging that the Service, as provided, infringes the intellectual property rights of a third party, subject to the liability cap in Section 11.

13.2 Customer Indemnity

Customer shall indemnify Keigen against third-party claims arising from: (a) Customer’s breach of these Terms or applicable law; (b) Customer’s failure to obtain required consents or implement required notices under GDPR, PECR, or other data protection laws; or (c) Customer Data that infringes third-party rights.

14. Risk Management

14.1 Data Accuracy Risk

Organisation-level visitor resolution relies on IP-to-company matching, enrichment databases, and similar inference techniques, which are inherently probabilistic. Keigen does not guarantee accuracy and Customer should independently verify leads before taking commercial action.

14.2 Regulatory Risk

Data protection laws are evolving. Customer acknowledges that changes to GDPR, PECR, ePrivacy Regulation, or equivalent laws may affect the Service’s functionality. Keigen will use commercially reasonable efforts to adapt the Service to material regulatory changes but does not guarantee uninterrupted compliance.

14.3 Third-Party Dependency Risk

The Service depends on Third-Party Services. Changes, discontinuation, or degradation of Third-Party Services may affect the Service’s functionality or data quality. Keigen will use commercially reasonable efforts to mitigate such impacts, including sourcing alternative providers where feasible.

14.4 Security Risk

While Keigen implements industry-standard security measures, no system is immune to all threats. Keigen is not liable for security breaches caused by Customer’s failure to secure its own systems, credentials, or integrations.

14.5 Business Continuity

Keigen maintains reasonable business continuity and disaster recovery procedures. In the event of a material service disruption, Keigen will communicate status updates and estimated recovery times to affected Customers.

15. Term, Termination, and Suspension

16. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales. Before commencing proceedings, the parties shall attempt to resolve disputes through good-faith negotiation for a period of not less than 30 days.

17. Changes to These Terms

Keigen may update these Terms from time to time. We will provide at least 30 days’ notice of material changes via email or prominent notice on buyerrecon.com. Continued use of the Service after the effective date of changes constitutes acceptance. If Customer does not agree to material changes, Customer may terminate the Subscription.
